Our Story

Victor L. Hernandez, and Rodrigo M. Sotomayor met while in Law School in Monterrey, Mexico. Victor joined Rodrigo at Gonzalez-Lutteroth, S.C., a sought-after corporate, banking and financial regulatory firms in Mexico.  Rodrigo and Victor clerked under Javier Gonzalez-Lutteroth, a renowned corporate attorney, and a federally licensed commercial notary. Mexico's largest banks were the firms major clients and Rodrigo and Victor were directed to fulfill a long range of loan portfolio reorganization and restructuring engagements under a federal program that pegged outstanding loans to an alternative investment trade units ("UDI") among many other responsibilities. Victor left the firm to join the founding of Mexico's first dedicated investment banking firm, Protego Asesores Financieros (now know a part of Evercore Group NYSE: EVR.) Victor would ultimately become its Legal Affairs Manager. After a couple of years Rodrigo joined Victor at Protego where they were in charge of all legal affairs surrounding private and public placements, mergers and acquisitions, restructurings and reorganizations.

Victor left Protego to join a New York investment firm dedicated to Latin America and was involved in Internet startups. He was later involved in the manufacturing industry and later rejoined the financial sector where he served in a number of positions in four different countries, and has provided guidance and execution to U.S. court-appointed receiverships in the region for over 16 years. 

Rodrigo scaled ladders in Protego and ultimately became Vice President.  Rodrigo performed several high profile placement and merger and acquisitions transactions, consulting and advisories and executing restructurings and reorganizations. Rodrigo left Protego to run his real estate investment managing company in the U.S. where he has successfully placed private investment funds and has overseen projects and holdings in Texas, California among other.

Past clients, have continued to solicit consulting and advisory from both and in a chance meeting they decided to formally offer their services through an entity that would best serve their clients' needs. IFLC, LLC opened its doors in 2016 and has added new members, consultants and of counsels. This also includes the incorporation of legal counseling services pertaining to U.S. laws.

From working at prestigious Gonzalez-Lutteroth, S.C., Vector Casa de Bolsa, S.A. de C.V., Protego Asesores Financieros, S.C., VB&P, LatinAdvisor.com and VENTTRA, to serving as General Counsel to banks and broker dealers in Mexico, Panama, Colombia, Venezuela, Ecuador and Peru to opening his own consulting firm in 2016, Victor has attained well almost 30 years of professional experience. Many of the matters in which Victor has been involved have ended in news headlines with far reaching consequences. Aiding clients in confronting adverse scenarios and overcoming trying challenges is Victor's specialty. Victor is a dual licensed Attorney & Counselor at Law (Mexico/U.S.), and is fully bilingual (English/Spanish.)

Rodrigo M. Sotomayor

Rodrigo focuses on the various facets of law that revolve around mergers and acquisitions, corporate finance, restructurings and reorganizations. His experience in forming, placing and managing cross-border private investment funds dedicated to commercial real estate projects allows our clients to tap into long vision investments. Rodrigo has also represented and advised major hospitality conglomerates, members of the food industry and a breadth of entrepreneurs and investors for over 18 years.

Senior Associate Consultant

Martha S. Rombach

Martha got her start working under Ignacio Santamarina and Santiago Gutierrez-Borda, Senior Partners of Jose Lloreda-Camacho & Cia., whom continuously rank as two of Colombia's best attorneys. She specializes in all things related to the sourcing and distribution of mineral raw materials, including mining, mineral claims, along with the cursory regulatory and land master elements required in those fields. Given the dynamics in such industries, Martha is also well seasoned in the areas of mergers and acquisitions, labor, foreign investments and general corporate practice. Martha has been a legal consultant to several foreign concerns in Colombia, Canada, Australia, Brazil among other countries, she has also served as General Counsel to mining and trading companies in her home country. She travels regularly between Bogota and her home in Naples, FL.
